By creating an account, placing an order, or simply browsing our platform, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the platform on behalf of a business entity, you represent that you have the authority to bind that entity to these terms.

These Terms and Conditions, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SourceBay regarding your use of the platform.

To access certain features of our platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and not share it with third parties
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

SourceBay reserves the right to suspend or terminate accounts that violate these terms, contain false information, or are found to be involved in fraudulent activity.

All orders placed through our platform are subject to availability and confirmation. We act as a buying agent, sourcing products from Chinese suppliers on your behalf. By placing an order, you authorize us to purchase the product from the supplier.

Pricing: All prices displayed are indicative and subject to change. Final prices include the product cost and applicable service fees. International shipping, customs duties, and taxes are calculated separately and billed accordingly.

Minimum Order Quantity (MOQ): Some products have a minimum order quantity as set by the supplier. You must meet the MOQ requirement to place an order for such products.

Payment: We accept payments via SSLCommerz and other supported payment gateways. Payment must be made in full before we proceed with sourcing your order. All transactions are processed securely.

Order Cancellation: Orders may be cancelled before the supplier confirms shipment. Once a product has been shipped from the supplier, cancellation is not possible and our refund policy applies.

Domestic (China) Shipping: Some products include free domestic shipping within China (seller to our warehouse). For others, a domestic China shipping fee applies and is shown separately in your cart and order summary.

International Shipping: International shipping fees are calculated based on the product weight, dimensions, shipping method selected, and destination country. Shipping rates are quoted per kilogram and are shown during checkout.

Delivery Timeframes: Estimated delivery is 10–15 business days for standard air freight. Sea freight may take 25–45 days. These are estimates only and may vary due to customs clearance, public holidays, or other factors beyond our control.

Customs & Duties: You are responsible for all customs duties, import taxes, and handling fees levied by your country's customs authority. SourceBay is not responsible for delays caused by customs inspection.

Risk of Loss: Risk of loss and title for products pass to you upon delivery to the shipping carrier. We recommend purchasing shipping insurance for high-value orders.

As an international buying and shipping agent, our return and refund policy is subject to the policies of the original supplier and the nature of the goods. Generally:

• Defective or incorrect products: We will work with the supplier on your behalf to arrange a refund or replacement. Please report such issues within 7 days of delivery with photo evidence.
• Change of mind: Returns due to change of mind are generally not accepted once the product has been shipped from China, as we cannot return goods to Chinese suppliers at reasonable cost.
• Damaged in transit: If goods arrive damaged, please document and report within 48 hours of delivery. Shipping insurance claims will be processed where applicable.
• Refunds are processed back to your original payment method within 7–14 business days of approval.

Product listings on our platform are sourced from third-party Chinese suppliers. While we make reasonable efforts to ensure accuracy, we do not guarantee that product descriptions, images, specifications, prices, or availability are always accurate, complete, or current.

Colors displayed on screen may vary from the actual product due to monitor calibration differences. Size measurements are provided as guidance and may have minor variations.

Certain products may be restricted or prohibited in some countries. It is your responsibility to ensure that the products you order are legal to import in your destination country. SourceBay reserves the right to cancel orders for products that violate import regulations.

You agree not to use our platform to:

• Order counterfeit, pirated, or trademark-infringing goods
• Order products that are illegal, hazardous, or restricted in your country
• Engage in fraudulent transactions or chargebacks
• Attempt to circumvent security measures or access other users' accounts
• Use automated tools to scrape or harvest data from our platform
• Post false or misleading reviews or information
• Engage in any activity that disrupts or interferes with our services

Violation of these prohibitions may result in immediate account suspension and legal action.

All content on the SourceBay platform — including but not limited to logos, text, graphics, software, and the overall design — is the property of SourceBay or its licensors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content on our platform without our prior written consent. Unauthorized use of our intellectual property may result in legal action.

Product images and descriptions sourced from suppliers remain the property of their respective owners. We use such content under implied license for the purpose of facilitating transactions.

To the fullest extent permitted by law, SourceBay and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data or business information
• Delays in delivery due to circumstances beyond our control
• Customs seizure or destruction of goods
• Product defects caused by the supplier
• Force majeure events including natural disasters, war, or pandemic

Our total liability for any claim arising from your use of our platform shall not exceed the amount you paid for the specific order giving rise to the claim.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our platform, you consent to the data practices described in our Privacy Policy.

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our platform. We will notify registered users of material changes via email or a prominent notice on our website. Your continued use of the platform after changes are posted constitutes your acceptance of the revised terms.

We recommend reviewing these terms periodically to stay informed of any updates.

These Terms and Conditions are governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
